Version 1.0, effective September 26, 2026. Scope: free early-access service for Ontario parents/legal guardians, individual educators (independent tutors and teachers in their personal capacity), and parent-authorized K–8 learners
These Service Terms are an agreement between the adult account holder and 7110961 Canada Inc., operating as SmartStudy (SmartStudy, we, us, or our).
These Terms, the Privacy Policy, and the learner-data notice and authorization together form the whole of the agreement between you and SmartStudy for the pilot, and replace any earlier understanding about it. If they conflict, these Terms govern, except that the Privacy Policy governs how SmartStudy handles personal information and the learner-data notice governs the scope of a parent's authorization.
A1. Acceptance, eligibility, and pilot boundary
You accept these Terms by selecting the unchecked Terms acceptance control and continuing with an available sign-in method. You can review, accept or decline, and correct entry errors before acceptance. SmartStudy records the version and server time and provides access to a durable copy or link. If you do not accept, do not create or use an account. SmartStudy keeps the accepted version available to you in your account while the account is open, and for a reasonable period afterwards on request.
You must be at least 18 years old, legally able to enter this agreement, and ordinarily resident in Ontario. SmartStudy records an affirmative 18-or-older result and does not request your exact date of birth for eligibility. You confirm these statements are true when you make them, and you agree to tell SmartStudy if they stop being true. SmartStudy may suspend or close an account where it reasonably believes an eligibility statement is not correct.
Phase 1 is free early access for parents/legal guardians and individual educators. An individual educator is an independent tutor, or a teacher acting in their personal capacity, in each case using SmartStudy for themselves and not for or on behalf of a school, school board, tutoring company, or other organization. Phase 1 excludes Quebec and other provinces, payments/subscriptions, schools, boards, tutoring companies, institutions, educator organization or staff accounts, public child-data collection, learner voice/microphone input, image, PDF, or other document uploads outside the authenticated adult decoder tools, learner messages, marketing, and public sharing. Do not use an unavailable feature or provide information outside the requested scope.
A2. Parent authority, educator connection, and learner use
Only a learner's parent or legal guardian may complete creation and authorization of a learner profile. Before providing the first learner field, the parent must review the separate learner-data notice, affirm their authority, and authorize the listed processing. Tell SmartStudy promptly if authority is disputed or changes.
An educator can be connected to a learner in two ways, and in both the parent decides. An educator may share a SmartStudy invitation link or QR code that contains no learner, parent, or scope information; the parent opens it, reviews the educator's identity and the connection notice, and chooses whether to grant access to their learner. Or the parent may start from their learner record and share access with a named educator by email, choosing the scope and expiry. An educator must not enter identifiable learner information, upload identifiable learner work, or access a learner until the parent has granted that named educator access. An educator can never create a learner profile.
The parent chooses the access scope and may revoke it at any time. Within an active grant, the educator may use only the approved learner-linked tools and information: educator-created or assigned work, session notes and progress reports the educator prepares, and the progress information the granted scope allows. The educator must not seek or use complete parent-created activity, private learner/parent AI conversation history, or information outside the grant. An educator must stop access when the relationship, the grant, or their authority ends.
If you are a teacher, you use SmartStudy in your personal capacity. You represent that you are not acting for or on behalf of a school or school board; that you will not enter information from school-held records or systems that you are not entitled to share; and that your access to any learner comes only from that learner's parent grant, not from any classroom or employment relationship.
SmartStudy does not select, recommend, screen, interview, verify the credentials of, or carry out any background or police record check on any educator, and does not supervise or take responsibility for the services an educator provides. The relationship between a parent and an educator is between them. A parent alone decides whether to work with an educator and whether to grant that educator access to a learner, and should make the checks and take the precautions the parent considers appropriate. SmartStudy makes no representation about an educator's identity, qualifications, character, or suitability to work with children.
A learner is not a party to these adult Terms and cannot self-register or purchase. You are responsible for supervising the learner's use, securing their credential and device, explaining SmartStudy in an age-appropriate way, and involving the learner in choices appropriate to their maturity.
Do not use SmartStudy for emergency, crisis, medical, therapy, diagnosis, admission, discipline, or as the sole basis for grading or another significant decision about a child.
A3. Early-access service, free features, and promotional credits
The pilot is unfinished and may be incomplete, unavailable, changed, reset, suspended, or ended. SmartStudy may limit participation or disable a feature where reasonably necessary for safety, privacy, security, testing, legal, or operational reasons. Where appropriate, SmartStudy will give notice and a reasonable opportunity to request access to available information before a planned material reset or end. SmartStudy will give at least 30 days' notice before a planned material reset, a planned end of the pilot, or planned deletion of pilot content, except where a shorter period is necessary for safety, security, privacy, or legal reasons, and will provide a reasonable means to obtain a copy of available learner information before that date.
SmartStudy supports learning and parent oversight; it does not replace a qualified teacher, tutor, health professional, emergency service, or other professional.
Base features are free. Early adult accounts may receive promotional credits for metered generations. Before a metered action, SmartStudy shows the credit cost and requires confirmation. Phase 1 charges one credit per enabled generation; any advanced multi-credit feature remains unavailable until separately implemented and disclosed.
Credits have no cash value, are non-transferable unless SmartStudy expressly states otherwise, and are not a payment method. They cannot create a debt or charge and do not automatically convert to a paid plan. If credits are exhausted, free base features and previously created work remain available, but new metered generations stop. No payment method or subscription purchase is available in Phase 1.
The displayed offer controls the grant amount, eligibility, and expiry. SmartStudy may correct an erroneous grant or debit, restrict abuse, or change future promotional offers. It will not retroactively remove properly used credits or materially reduce an active displayed grant without at least 30 days' notice, except where the change is needed to correct an error or to address abuse.
SmartStudy may give an adult account holder a referral code to share. The control to create and copy a code is available to adult account holders only. No referral offer, reward, or prompt appears anywhere in a learner's experience, and a learner is never asked to bring another user to SmartStudy.
You decide whether and with whom to share your code, and you send it yourself. SmartStudy does not send referral invitations on your behalf. Credits awarded through a referral are promotional credits and this section applies to them. In Phase 1 the referral programme is available to parent and legal guardian accounts and is not available to an individual educator. SmartStudy may change or end the referral programme on notice.
A4. AI and generated output
SmartStudy uses artificial intelligence for explanations, practice, recommendations, summaries, progress/mastery estimates, and other learning content. AI output may be inaccurate, incomplete, inappropriate, biased, or inconsistent. You and the learner should exercise judgment and report concerning output through an available support or feedback path.
Do not use SmartStudy output as the sole basis for a decision that significantly affects a person. Automated safety, quality, curriculum, and access controls do not guarantee that every problem will be detected.
SmartStudy does not use artificial intelligence to make a decision about you or a learner that has a legal effect or a similarly significant effect. Where an automated process materially influences something that affects a learner, you may ask SmartStudy for a plain-language explanation of the main factors used and for a person to review the result. Ask at privacy@smartstudy.ca. This covers SmartStudy's automated safety check on a learner's messages to the AI tutor, described in the Privacy Policy, and any automated check of a learner's answers that SmartStudy prepares for an adult.
A5. Information and content you submit
Submit only information you are authorized to provide and that an available feature reasonably requests. Do not submit another person's information without authority; unnecessary health, diagnosis, therapy, child-protection, sexual-content, government-identifier, biometric, precise-location, school-confidential, or financial records; unlawful, infringing, deceptive, harmful, or malicious content; credentials or secrets; or content intended to defeat controls.
The authenticated Homework Decoder permits a parent or parent-authorized individual educator to submit one authorized worksheet photo, PDF, or typed question after a confirmation step. At the point of upload, an educator tells SmartStudy whether the material is a learner's work or is not about any learner. Material identified as a learner's work may be linked only to a learner covered by an active parent grant. Material identified as not about any learner must not identify any child, is kept for the submitting educator only, and is never added to a learner record. Before sending, remove names and unnecessary identifying or sensitive details and keep private surroundings, faces, other children, school identifiers, barcodes, and unrelated pages out of the image. A check-work image may show the learner's written answer. Do not upload sexual/private images or content you are not authorized to provide.
The Report Card Decoder permits a parent (only) to submit a photo or PDF of their own child's report card after the same confirmation step. Submit only a record you are entitled to share. SmartStudy's explanation omits accommodation, therapy, and similar sensitive details that may appear in teacher comments rather than repeating them.
Read-aloud converts enabled on-screen text to audio. It does not use a microphone, record the learner, transcribe speech, identify a voice, or create a custom/personal voice.
You grant SmartStudy a limited, non-exclusive, royalty-free licence to host, store, process, reproduce, adapt, and display authorized content only as reasonably necessary to provide, secure, troubleshoot, and support the service as described in the Privacy Policy and your choices. The licence ends when content is deleted, subject to backup expiry, an item-specific lawful hold, and minimized records SmartStudy must lawfully retain. SmartStudy does not use this licence to publish or share your content, or a learner's content, outside the access controls described in the Privacy Policy, and does not use identifiable content to train or fine-tune a general-purpose model.
As between you and SmartStudy, and to the extent SmartStudy holds rights in it, SmartStudy grants you a licence to use generated output for your own learning, for a learner in your family, or, if you are an individual educator, in your work with a learner covered by an active parent grant. You must not resell generated output, publish it as a stand-alone product or dataset, or use it to train a machine learning model. It may be inaccurate, non-exclusive, or subject to third-party or curriculum notices. SmartStudy grants only rights it has authority to grant and does not promise that generated output is eligible for copyright protection.
If you send SmartStudy non-personal feedback or suggestions, you grant SmartStudy a perpetual, irrevocable, royalty-free licence to use them to improve the service, without payment or attribution.
A6. Acceptable use and security
You must not use SmartStudy unlawfully or to harm, exploit, threaten, deceive, profile, or discriminate; bypass consent, grant, access, safety, privacy, credit, rate-limit, or security controls; scrape, bulk extract, resell, reverse engineer, or use the service or its output to build or train a competing dataset, model, or service; probe vulnerabilities outside written authorization; impersonate another person or claim false parent or educator authority; share an account across educators or staff; or use learner content for advertising or targeting.
Keep your identity-provider account, email, device, learner credential, and sessions secure. Notify security@smartstudy.ca promptly if you suspect unauthorized access.
A7. SmartStudy and curriculum materials
SmartStudy and its licensors own the software, interfaces, branding, documentation, and SmartStudy-authored content. You receive a limited, revocable, non-exclusive, non-transferable right to use the pilot personally for its intended purpose. No ownership transfers.
Third-party and public curriculum materials remain subject to their rights and notices. SmartStudy's curriculum alignment does not imply government affiliation, endorsement, or approval. The curriculum published by the Ontario Ministry of Education is the authoritative source for curriculum information, and SmartStudy links to it. SmartStudy's curriculum material is its own plain-language content, prepared with human review, and it is not the curriculum itself.
If you believe content available through SmartStudy infringes your copyright or another right, contact hello@smartstudy.ca with enough detail to identify the content and the basis of your claim. SmartStudy will review the claim and may remove or restrict access to the content while it does so.
A8. Providers, privacy, and messages
The service depends on authentication, hosting, email, and AI providers. Separate provider terms may apply when you choose their account or service. SmartStudy handles personal information as described in the Privacy Policy and learner-data notice.
Service and security messages necessary to authenticate, secure, administer, or evidence the account and educator grants are distinct from optional marketing. You may enable optional web push notifications in your browser and disable them at any time; push is available to adults only. Phase 1 sends no direct learner messages and no sales messages to educator-referred parents. If you asked to receive product updates, for example by choosing that option when you joined the waitlist, SmartStudy sends them only to the address you gave, identifies itself in every message, and includes a working unsubscribe link. SmartStudy may add, change, or replace a provider. Where the change is material to how personal information is handled, SmartStudy will update the Privacy Policy and, where required, seek renewed authorization before the change takes effect.
A9. Suspension, withdrawal, and termination
You may stop using the pilot at any time. A parent/legal guardian may withdraw learner authorization or revoke a named educator grant through an available control or by contacting the Privacy Officer. Grant revocation immediately ends the educator's new access and processing but does not itself delete the family learner record. Learner-authorization withdrawal stops all new processing that depends on that authorization, revokes affected parent/educator/learner sessions, and may make learner features unavailable. Existing records, deletion/de-identification, backup expiry, security evidence, and lawful holds follow the approved Privacy Policy and retention process. SmartStudy will keep information a parent is entitled to receive available for at least 30 days after account closure or withdrawal of authorization before deletion or de-identification begins, unless a shorter period is required by law or is necessary for safety or security.
SmartStudy may restrict or terminate access where reasonably necessary to protect a child, user, service, data, or third party; investigate suspected misuse; comply with law; or end the pilot. Where appropriate, SmartStudy will give notice and an opportunity to request access to information.
A10. Disclaimers
The service is provided as is and as available. To the extent permitted by law, SmartStudy disclaims warranties that it will be uninterrupted, error-free, secure in every circumstance, or suitable for a particular purpose or learning outcome.
Nothing limits a statutory warranty, consumer remedy, privacy right, or other right that applicable law does not allow the parties to exclude.
Read-aloud may fall back to the speech service built into your browser or device. That service is operated by the supplier of the browser or device, not by SmartStudy, and SmartStudy is not responsible for how it works or for what it does with the text sent to it. You can turn read-aloud off at any time from the adult settings screen.
A11. Responsibility, liability, and law
Each party remains responsible for loss it causes to the extent required by law. To the extent permitted by law, SmartStudy is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the service.
Nothing excludes or limits liability where prohibited, including for fraud, wilful misconduct, gross negligence, personal injury, or non-waivable privacy or consumer rights.
Because Phase 1 is provided free of charge, SmartStudy's total liability to you, and to any learner on your account, for all claims arising out of or connected with the service, whether in contract, in tort, under a statute, or otherwise, is limited in the aggregate to CAD $100.
You are responsible for the use of your account and of any learner profile you create, for the accuracy of the parent or legal guardian representation you make, and for the information you or a learner submits. You will reimburse SmartStudy for any loss, claim, or reasonable cost it incurs because you breached these Terms, submitted information you were not authorized to provide, or asserted parent, guardian, or educator authority you did not have. This does not apply to loss caused by SmartStudy's own negligence or breach of these Terms, and does not limit a right you have that the law does not allow to be limited.
The courts of Ontario have jurisdiction over any dispute arising out of these Terms or the service, and you and SmartStudy submit to those courts. Nothing in these Terms requires you to arbitrate a claim, prevents you from taking part in a class proceeding, or limits a right or remedy that consumer protection or privacy law does not allow the parties to exclude.
These Terms are governed by Ontario law and applicable federal Canadian law, without limiting mandatory rights that apply despite this choice.
A12. Changes, accessibility, and contact
SmartStudy may require review and acceptance of a new Terms version before continued use after a material change. Earlier records are preserved. A material learner-data change may also require a new notice and authorization.
Contact SmartStudy for an alternate accessible format or support interaction as required by law.
A13. General
If part of these Terms is found unenforceable, the rest continues to apply, and that part applies to the extent the law allows.
A delay or failure to enforce a term is not a waiver of it.
You may not transfer your account or these Terms. SmartStudy may transfer them to a successor of its business on notice to you, and the successor is bound by these Terms and by the Privacy Policy in force at the time of the transfer.
SmartStudy sends notices to the email address on your account. Send notices to SmartStudy at hello@smartstudy.ca.
These Terms are in English. Phase 1 is not offered in Quebec, and SmartStudy will publish a French version before offering the service to Quebec residents.
