Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Parent," "Guardian," or "User") and 7110961 Canada Inc. ("SmartStudy," "we," "us," or "our"), the company operating the SmartStudy platform, including the Maple AI study coach, website, mobile applications, and all related services (collectively, the "Service").

By registering an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accessing the Service on behalf of a minor child, you represent that you are the child's parent or legal guardian and that you accept these Terms on their behalf.

Account Registration

To use SmartStudy, a parent or legal guardian who is at least 18 years of age must create an account. Children under the age of 13 may not create their own accounts. We collect only what we need, as described in our Privacy Policy.

Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate, current, and complete information during registration.
• You must promptly notify us of any unauthorized access to your account at hello@smartstudy.ca.
• You are responsible for all activity that occurs under your account, including your child's use of the Service.
• One parent account may be used to manage up to five (5) child profiles, depending on your subscription plan.

Canadian Residents

SmartStudy is currently preparing an English-language Canadian launch, starting with Ontario and expanding province by province. SmartStudy is not currently offered in Quebec, and Quebec residents must not create an account or submit a waitlist or service form until Quebec availability is announced. Additional provinces, territories, and grades are on our roadmap.

SmartStudy provides an AI-powered adaptive learning platform that includes, but is not limited to:

• The Maple AI study coach, capable of text, voice, and audio interaction
• Curriculum-aligned adaptive lessons in mathematics, science, and social studies
• Homework help and guided problem-solving
• Spaced-repetition review scheduling
• A gamification system including XP, levels, weekly progress, and badges
• A parent dashboard with progress tracking and weekly report cards
• Universal Design for Learning (UDL) accommodations including dyslexia support and ADHD-friendly features

Service Availability

We strive for 99.5% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for losses resulting from temporary unavailability.

The safety and wellbeing of children is our highest priority. SmartStudy is designed exclusively for use by children under active parental supervision and account management.

Parental Consent

By creating a child profile, you provide verifiable parental consent for your child to use the Service. We will not knowingly collect personal information from children without this consent. If you believe we have inadvertently received information from a child without consent, please contact us immediately.

AI Interaction Safeguards

• All interactions with Maple are subject to automated content filtering aligned with child safety standards.
• Parents may flag any AI-generated message for human review at any time.
• Maple is designed to deflect and de-escalate distressing conversations and will never engage with harmful, violent, or age-inappropriate topics.
• Session transcripts are retained and available for parental review in the parent dashboard.
• We do not permit children to interact with other users or share content publicly within the platform.

Privacy and data practices

Our Privacy Policy explains how SmartStudy handles personal information and how to contact our Privacy Officer with questions or requests.

SmartStudy is currently in early access. Nothing is for sale yet — joining the waitlist requires no payment and no credit card. The terms below describe how subscriptions, trials, billing, and cancellation will work once a paid plan launches; we'll share final pricing and trial details before asking anyone to pay.

Subscription Plans

Once paid plans launch, SmartStudy will offer monthly and annual subscription plans. Pricing will be displayed at checkout and on our pricing page ahead of any charge. All prices will be in Canadian dollars (CAD) and include applicable taxes where required by law.

Billing & Renewal

• Subscriptions renew automatically at the end of each billing period unless cancelled.
• We will provide advance notice before any price changes take effect.
• You may cancel your subscription at any time through your account settings.
• Cancellation takes effect at the end of the current billing period; no partial refunds are provided for unused time, except as required by applicable Canadian consumer protection law.

Refunds

If you are dissatisfied with SmartStudy within the first 14 days of a paid subscription, contact us and we will work with you toward a resolution, including a refund where warranted. Refund requests after 14 days are evaluated on a case-by-case basis.

You agree to use SmartStudy only for its intended purpose of supporting children's learning. You must not:

• Use the Service to submit, transmit, or display any content that is harmful, abusive, threatening, harassing, defamatory, or otherwise objectionable
• Attempt to circumvent, reverse-engineer, or interfere with the AI systems, content filters, or security measures
• Use the Service to collect information about other users or their children
• Access the Service through automated means (bots, scrapers, or scripts) without our written permission
• Resell, sublicense, or commercialize the Service or any content derived from it
• Share account credentials with persons outside your household
• Use the Service in any way that violates applicable Canadian federal or provincial law

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

Maple is powered by artificial intelligence. By using Maple, you acknowledge and accept the following:

Nature of AI Responses

• Maple's responses are generated by AI and, while designed to be accurate and curriculum-aligned, may occasionally contain errors or inaccuracies.
• Maple is not a licensed teacher, tutor, therapist, or medical professional.
• Content provided by Maple should not replace professional advice in educational, medical, or therapeutic contexts.

Voice & Audio Features

When voice features are enabled, audio from your child's device may be processed to enable speech recognition. This processing is governed by our Privacy Policy. Parents may disable voice features at any time from the account settings.

AI Improvement

We may use de-identified, aggregated interaction data to improve the Maple model and learning algorithms. We will never use identifiable conversations for model training without explicit parental consent. See our Privacy Policy for details.

All content, features, and functionality of the Service — including the SmartStudy name and logo, the Maple character, SmartStudy-authored lesson plans, quizzes, and curriculum guides, software, text, graphics, and user interface design — are owned by 7110961 Canada Inc. or its licensors and are protected by Canadian copyright, trademark, and other intellectual property laws. Underlying Ontario curriculum content referenced or aligned to by the Service remains the property of its respective copyright holder (© King's Printer for Ontario) and is not owned by SmartStudy.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended educational purpose during your subscription period. This license does not include the right to download, copy, reproduce, distribute, or create derivative works from any Service content.

User Content

Any content your child submits while using SmartStudy (responses, answers, uploaded work) remains yours. By submitting such content, you grant us a limited license to process and display it solely for the purpose of delivering the Service.

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, to the fullest extent permitted under applicable Canadian law, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be error-free, uninterrupted, or secure at all times
• Maple's responses will always be accurate, complete, or up-to-date
• Use of the Service will result in specific academic outcomes or improvements
• The Service will meet every child's specific educational needs or learning objectives

Nothing in these Terms limits your statutory rights as a consumer under applicable Canadian provincial consumer protection legislation.

To the fullest extent permitted by applicable law, SmartStudy, its directors, employees, partners, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising out of or in connection with your use of the Service.

Our total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total amount you paid us in the 12 months preceding the claim, or (b) CAD $100.

Some provinces do not allow the exclusion or limitation of certain types of damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

You may cancel your account at any time through your account settings or by contacting us at hello@smartstudy.ca. Upon cancellation, your access to the Service will continue until the end of your current billing period.

We may suspend or terminate your account immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms, particularly provisions related to child safety or acceptable use. In such cases, no refund will be provided.

Upon termination, your right to use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy and applicable law.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the Service will first be attempted to be resolved informally. You may contact us at hello@smartstudy.ca to initiate informal resolution. If informal resolution fails after 30 days, disputes shall be resolved by binding arbitration in Ontario, Canada, under applicable arbitration rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

You agree that any claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class action.

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address on your account) and by posting a prominent notice on the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.
