1. About SmartStudy

SmartStudy is an adaptive learning platform designed for Canadian students from Kindergarten to Grade 12. It is operated by 7110961 Canada Inc., a corporation incorporated under the laws of Canada. Our service provides AI-assisted tutoring aligned to Canadian provincial curricula, primarily the Ontario curriculum.

SmartStudy is a supplemental educational tool. It is not a replacement for school, a licensed educational assessment, or professional educational therapy.

2. Eligibility and Account Registration

2.1 Parent or Guardian Accounts

To use SmartStudy, a parent or legal guardian (the "Account Holder") must create an account. You must be at least 18 years of age and a resident of Canada to create an account.

2.2 Child Profiles

Once registered, the Account Holder may create child profiles for children in their care. By creating a child profile, you confirm that you are the parent or legal guardian of that child and that you consent to the child using SmartStudy.

2.3 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep it up to date.

2.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@smartstudy.ca if you suspect unauthorised access to your account.

3. The Service

3.1 What SmartStudy Provides

SmartStudy provides:

• AI-assisted tutoring sessions aligned to Canadian provincial curricula
• Adaptive learning that adjusts to your child's pace and learning style
• Progress tracking and parent dashboard reports
• Gamification features (XP, streaks, badges) to encourage engagement
• Homework help assistance

3.2 What SmartStudy Does Not Provide

• SmartStudy is not a licensed educational assessment service
• SmartStudy does not provide medical, psychological, or therapeutic advice
• SmartStudy's "on track" indicators are estimates based on curriculum alignment, not official school assessments
• SmartStudy does not guarantee specific academic outcomes

3.3 Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance, updates, or experience outages. We will provide reasonable notice of planned maintenance where possible.

3.4 AI-Generated Content

SmartStudy uses artificial intelligence to generate tutoring content and responses. While we implement safety measures and curriculum alignment checks, AI-generated content may occasionally contain errors. Parents are encouraged to review their child's learning activity. If you notice an error or inappropriate content, please report it to support@smartstudy.ca.

4. Subscription and Billing

4.1 Free Trial

New accounts receive a 30-day free trial with full access to SmartStudy features. No credit card is required to start the trial.

4.2 Paid Subscriptions

After the free trial, continued access requires a paid subscription. Current pricing is displayed on our website and in the app. Prices are in Canadian dollars and include applicable taxes.

4.3 Billing

Subscriptions are billed monthly or annually, depending on the plan you choose. Payments are processed by Stripe. By providing payment information, you authorise us to charge your payment method on a recurring basis.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods, except as required by applicable Canadian consumer protection law.

4.5 Refunds

If you are not satisfied with SmartStudy within the first 14 days of your first paid subscription period, contact us at billing@smartstudy.ca for a full refund. After 14 days, refunds are at our discretion.

4.6 Price Changes

We will provide at least 30 days' notice before changing subscription prices. Price changes take effect at your next renewal date.

5. Acceptable Use

5.1 Permitted Use

SmartStudy is licensed for personal, non-commercial use by the Account Holder and their children. You may use SmartStudy to support your child's learning at home.

5.2 Prohibited Use

You agree not to:

• Share your account credentials with people outside your household
• Use SmartStudy for commercial tutoring or resale purposes without our written permission
• Attempt to reverse-engineer, scrape, or extract curriculum content or AI models
• Use SmartStudy in any way that violates applicable Canadian law
• Attempt to circumvent safety filters or content moderation
• Provide false information about a child's age or identity

5.3 Child Safety

SmartStudy's AI tutor (Maple) is designed with child safety guardrails. Maple will not engage with off-topic, harmful, or inappropriate content. If a child attempts to use SmartStudy in an unsafe way, the session will be ended and the parent may be notified.

6. Intellectual Property

6.1 Our Content

SmartStudy, the Maple character, our curriculum content, software, and all associated intellectual property are owned by 7110961 Canada Inc. or our licensors. Nothing in these Terms grants you ownership of our intellectual property.

6.2 Ontario Curriculum

SmartStudy's curriculum alignment is based on publicly available Ontario Ministry of Education curriculum documents. These documents are Crown copyright of the Government of Ontario.

6.3 Your Content

You retain ownership of any content you upload to SmartStudy (such as report card photos or homework documents). By uploading content, you grant us a limited licence to process it for the purpose of providing the service to you. We do not use uploaded documents for any other purpose.

7. Privacy

Your use of SmartStudy is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using SmartStudy, you agree to our Privacy Policy.

8. Disclaimers and Limitation of Liability

8.1 No Educational Guarantees

SmartStudy is provided as a supplemental learning tool. We make no guarantee that use of SmartStudy will result in improved grades, test scores, or academic outcomes. Results vary by child, usage frequency, and many factors outside our control.

8.2 "As Is" Service

To the extent permitted by applicable Canadian law, SmartStudy is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.3 Limitation of Liability

To the extent permitted by applicable Canadian law, our total liability to you for any claim arising from your use of SmartStudy is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8.4 Consumer Protection

Nothing in these Terms limits rights you may have under applicable Canadian consumer protection legislation, including provincial consumer protection acts. If any provision of these Terms conflicts with mandatory consumer protection law, the law prevails.

9. Account Termination

9.1 By You

You may delete your account at any time from your account settings. Upon deletion, your personal information will be handled in accordance with our Privacy Policy.

9.2 By Us

We may suspend or terminate your account if you materially breach these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where possible, except in cases of serious violations.

9.3 Effect of Termination

Upon termination, your access to SmartStudy ends. Sections 6, 7, 8, and 10 of these Terms survive termination.

10. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

We encourage you to contact us first to resolve any dispute informally at support@smartstudy.ca. If we cannot resolve a dispute informally, it will be subject to the exclusive jurisdiction of the courts of Ontario.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify registered users by email at least 14 days before changes take effect

Continued use of SmartStudy after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your account before the effective date.
